These Terms of Service ("Terms") govern your use of this website and all purchases from, and sales to, Thor Group LLC, a limited liability company organized under the laws of Idaho, with its principal place of business at 5809 W Trigo Dr, Eagle, ID 83616, United States ("Thor Group," "we," "us," or "our").

By requesting a quote, paying an invoice, or otherwise transacting with us, you agree to these Terms.

1. What We Sell

Thor Group LLC is a dealer in computer memory. We buy and sell server and workstation memory modules, including DDR3, DDR4, and DDR5 RDIMM, LRDIMM, and ECC memory, in quantities ranging from single modules to bulk decommissioning lots. We sell both new and used/pulled modules; the condition of each item is disclosed in your quote before you pay.

2. Quotes and Orders

• We do not operate a shopping cart. Every transaction begins with a written quote.
• Quotes are valid for 7 calendar days and are subject to availability at the time you accept.
• A quote is an invitation to transact, not a binding offer. A contract is formed only when we accept your payment and confirm the order.
• We may decline or cancel any order, including for pricing or availability errors, suspected fraud, or legal restrictions. If we cancel an order you have paid for, we refund you in full.

3. Pricing and Payment

• All prices are quoted and charged in U.S. dollars (USD).
• Payment is made against an invoice we send you. Card payments are processed by Stripe, Inc. Thor Group LLC does not receive or store your full card number.
• Applicable sales tax is added where required by law.
• Orders ship only after payment has cleared.
• Descriptive text and photographs are provided in good faith; minor variations in module labeling or revision may occur, but part number, capacity, speed, and form factor will match your quote.

4. Shipping, Returns, and Refunds

Our Shipping & Fulfillment Policy and Returns & Refunds Policy are incorporated into these Terms by reference. In summary: orders ship within 1–2 business days of cleared payment, and you may return modules within 30 days of delivery.

5. Selling Memory to Us

• Any offer we make to buy your memory is contingent on our inspection of the modules on arrival.
• By selling to us, you represent that you are the lawful owner of the modules or are authorized to sell them, that they are not stolen, leased, or subject to any lien, and that you have the right to transfer clear title.
• You are responsible for wiping or destroying any data on media accompanying a decommission lot. Memory modules do not retain data after power loss, but we are not responsible for data on any other device you send us.
• If the modules materially differ from your description, we will contact you with a revised offer, which you may accept or decline. If you decline, we return the modules to you at our cost.
• Payment for accepted lots is issued within 3 business days of inspection.

6. Limited Warranty

Memory modules sold by Thor Group LLC are tested before shipment and carry a 30-day functional warranty from the delivery date, covering modules that fail to POST, fail standard memory diagnostics, or produce uncorrectable ECC errors under normal use in compatible hardware. Our sole obligation under this warranty is, at our option, to replace the module or refund its purchase price.

This warranty does not cover physical damage, bent or broken pins, electrostatic discharge damage, overclocking, use outside the manufacturer's specifications, incompatibility with your particular motherboard or CPU, or normal wear on used modules.

EXCEPT AS EXPRESSLY STATED ABOVE, PRODUCTS ARE PROVIDED "AS IS" AND WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

You are responsible for confirming compatibility with your hardware before ordering. We're glad to help you check — just ask before you buy.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THOR GROUP LLC'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO ANY ORDER SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCTS GIVING RISE TO THE CLAIM. WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, SERVER DOWNTIME, OR DATA LOSS OR CORRUPTION.

Nothing in these Terms excludes liability that cannot lawfully be excluded. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

8. Export Compliance and Prohibited Use

You agree not to export, re-export, or transfer products purchased from us in violation of U.S. export control or sanctions laws. We will decline any order we cannot lawfully fulfill.

9. Intellectual Property

The content of this website — its text, layout, and graphics — is the property of Thor Group LLC. Manufacturer names and part numbers are trademarks of their respective owners and are used only to identify the products we buy and sell. We are not an authorized distributor for, or affiliated with, any memory manufacturer unless stated in writing.

10. Chargebacks and Disputes

If there is a problem with your order, please contact us first — we resolve nearly everything within a business day. Filing a chargeback without contacting us prevents us from correcting the issue. We reserve the right to submit documentation, including quotes, invoices, tracking, and correspondence, in response to any dispute.

11. Governing Law

These Terms are governed by the laws of the State of Idaho, without regard to its conflict-of-laws rules. Any dispute shall be brought exclusively in the state or federal courts located in Ada County, Idaho, and you consent to that jurisdiction.

12. Changes to These Terms

We may update these Terms from time to time. The version in effect at the time of your order governs that order. The "last updated" date above reflects the most recent revision.
